The guarantee system
Important for you to know:
• The partnership is open to
any manufacturers in the meaning of the law regarding lamps.
No credit-checks
• required for admission
of new partners. (Release of the guarantee to ear after receipt
of payment of admission
• fee and premium)
• The partnership is a
civil law partnership trading under the name of: "Osram
AG, Philips GmbH und Andere GbR".
• The chosen legal structure provides all participants
with an opportunity to exert fully equal influence on
• business operations, thus
ensuring transparency of costs at all times, allowing for adjustment
of costs.
• The participants are not exposed to any risk of recourse
either from the partnership's business operations
• or from the insurer.
• The partnership's liability and hence that of the partners
is limited to the partnership's assets. Each partner
• is liable solely for the
premium and for the costs of managing their requested guarantee
amounts.
• The partnership does not intent to realise any profit.
• The guarantee partnership's administrative unit has been
assigned to a service provider, combining trust and '
• management functions. A
partners' committee both manages and monitors this administrative
units.
• The partners do not incur any obligation to set up liability
reserves; their credit lines are not affected. It is
• possible to redeem already
existing guarantees (e.g. bank guarantees, trust accounts).
